Southampton FC takeover talks still going on


THE leading contender to buy the club had been given an ultimatum to deliver on their deal today or face being axed from negotiations.

Administrator Mark Fry had confirmed to the Daily Echo that he Was in advanced discussions with one party who wanted to buy Saints.

And he was expecting to either name them as his preferred bidder today or discount them from the race entirely.

However talks were still continuing into the evening.

Though Fry could not say who that party was, the Daily Echo understands it is the Matt Le Tissier backed Pinnacle group.

Should Pinnacle not be able to deliver, Fry insisted there are other people waiting in the wings who he will turn to immediately.

It is understood that time being of the essence was the reason for Fry’s deadline for Pinnacle to deliver the goods or forget about it.

He told the Echo: “We’re in negotiations and trying to close a deal but there are a lot of parameters, lawyers and contracts are involved, and we are in very detailed discussions.

“It’s imminent.”

When asked if imminent meant a deal could be struck by the end of today, he added: “We will know one way or another if we’re proceeding with it.

“There is a chance they won’t be able to deliver.

“There are other options but time is running out.”

Pinnacle – who have been in discussions with Fry for almost a fortnight – were understood to be frantically attempting to finalise a deal yesterday.

Nobody was available for comment but they were believed to be optimistic over their chances of completing a deal.

Should they not become preferred bidder and enter into a period of exclusivity to further examine the books before deciding whether to proceed with a deal, the other options include the Stuart Greenled consortium which includes Marc Jackson.

A source has already revealed to the Daily Echo that their bid is for £8m up front with a further £2m deferred and another £5m on promotions, ultimately back to the Premiership.

The Echo understands there is also a mystery overseas group of businessmen whose lawyers have been in discussions with Fry since the end of last week.

Sources close to that group – who have contacted Pinnacle with a view to talking about a possible pooling of resources – are keen for a deal to be done as soon as possible, otherwise they fear star players being sold off cheaply.

If all else failed, there would be the option to sell off various individual assets such as the stadium or the training ground and then the club separately.

However, it would be much better for the long term future of Saints if the club and all its related assets went to one bidder.

That is believed to be Fry’s priority.

A statement was issued to the stock exchange around lunchtime, about a termination of talks.

However this statement made it clear that shares in Saints' parent company Southampton Leisure Holdings is not in an offer period.

The statement made it clear though that it did not affect the ongoing discussions involving the sale of the football club.

We live in hope sitting on the prescipice of disaster...still well done Millwall - I can go to Elland Road again next season if we still have a club that is!

It does seem that the "critical path" being used is very open ended, with the administrator adding days and weeks as he feels appropriate.
This is great if we get the right new owners, but what if he runs out of time and then nothing!!!!
My other observation is, where has the extra money come from to pay the administrators, player/staff wages, and allow Mark Wotte to jet off around Europe?
The gamble of getting the right owners in, and in time, is an enormous one, and will be the defining moment in the history of our club.
I sincerely hope that Mr Fry is not playing into the hands of the money men ("Sharks"), because lets be realistic that is his background and how he earns his living??
I hope that my cynisism is misfounded and that we can all have a relaxing weekend in the knowledge that our beloved football club is in safe hands.

hmmmm, I would have been slightly hopeful if he had said we WILL get a buyer today, now problems.

The fact he has cast doubt over whether Pinnacle are going to buy us, in my mind, knowing Saints, means that it will fall apart.

I mean come on, when does anything ever go right for us?!

I am sure that there is an enormous amount of legal bits and accountancy issues to go through so i dont think any business man will spend a large fortune without doing his/their homework first.

But as a football club i feel that we are running out of time rapidly, especially if the preferred consortium do not go ahead. We then have to wait for others to come in and basically start all over again.

We will be in a terrible state if things are done and dusted until June. When you think we need perhaps a manager, a team, players leaving etc

It could be a bigger nightmare than first feared

I am concerned about the real wealth of the backers to the Pinnacle Bid..... The way the bid is being put togther does not sound like it is coming from a hugely wealthy group of people. I wonder if there are too many people behind the bid to please and that is why they have not been able to fully convince the Administrators or give a firm offer as yet. Hopefully everyone is just doing thier jobs diligently and there is no way of cutting corners.

I heard a rumour that if we do not pay our tax and NI op players wages by the 19th of this month, then we run the risk of a further 15 point deduction. Come on Mr Fry, we know you have a job to do, but stop dragging it out, IS he on day-work? One way or the other, I'd rather be put out of my misery. Cant take too much more of this.

I can't see any move at the monment being anything other than short term. If there was a seriously wealthy backer out there surely they would have had their hand snapped off by now. I get the impression that 'if' they manage to sell the club then it will be just enough to save us for the time being but probbaly not involve the kind of investment needed for a promotion push. Of course, I could be completely wrong but just trying to read between the lines.

I agree. Looking at the figure in the echo yesyerday, stated 15 million. I know we may get the debt for the stadium reduced, but we still owe nearly 5 million to Barclays. Doesnt seem much money to me. we will not be back in the prem with 15 million quid. God help us.

They have already said that we are in administration when we are not.

They need to start looking at peopel like Peter Risdale who has backed up his role as a club killer by delivering a 30m+ debt to Cardiff (thats before they move stadiums) The league needs to protect clubs from idiots like him and Lowe not just punnish the fans once all that is left of a club is an empty shell

Would people stop trying to crack a joke with the random security words which have naff all to do with the article, yet they still try to link it to it?!

Example, my security word now is face-grow, nothing to do with the article, yet people would crowbar it in there with some kind of lame joke such as.

Completely agree, I think he is starting to develop a mild case of Rupert Lowe syndrome!

Its true, the talks have failed with whichever party was at the forefront. The worry is that Mr Fry has issued statement to the city, stating we are NO LONGER in takeover talks????
Also it seems that Mr FRy is making a deal to sell the assets of the club to the highest bidder. Council or Marc Jackson are the names being put forward.

That statement merely confirms what we all knew
1.The PLC was never going to be sold and will now move towards liquidation
2. The Stadium will be sold off
3.The Training ground will be sold off
4. Jacksons farm will be sold off
5 The Football Club will be sold off

What will be interesting now is that the FL , deemed SFC as in admin, will they deem SFC as having liquidated if the PLC is? if not then the 10 points sanction will be hard for them to justify.

Personally this seems like good news, the club could well end up debt free apart from the mortgage which lets face it most people have mortgages but only consider debt as HP, credit cards or overdrafts.

The assets will have to be sold to cover the PLC debts which are to Barclays, The stadium company which holds the mortgage , should if sold be unaffected as long as it hasn't defaulted on the payments.
The SFC debts we have never seen a set of figures for this but its likely to be the PAYE and NI and any direct costs which most likely would be 60 day accounts so its not all doom n gloom

Don't slit your wrists just yet, it may be that this announcement means the deal is imminent.

Quite possible it's a legal requirement to say Southampton Leisure Holdings is soon to be no more because there is no need for it anymore, or any need to sell the whole thing.

Remember, the bidders could well be buying just the club, not the other assets.

If anything I'd be more confident of a sale announcement today after this news.

And I'd take any "I heard from a friend" stuff as rubbish until I see the evidence – on previous experience these rumours have a 99.9 per cent chance of being total garbage.

This is completely untrue and inaccurate. It is the same statement that is on the London Stock Exchange which basically means that no-one wants to buy SLH PLC shares. If you read to the bottom of the article it states that talks for the assets are still ongoing including Southampton Football Club. Therefore, no-one wants SLH PLC so the administrator, who's duty is not to us fans or to the club but is to the creditors, is under an obligation to sell the assets, ie the football club, to the highest bidder to pay off the creditors. Therefore talks with parties to buy SFC are still ongoing but it looks as though SLH is dead and buried.....not that I will lose too much sleep over this fact! But talks for the club still on....

Do what?!

People are now just getting confused between the talks to buy the actual PLC, and the talks just to buy the club itself.

The PLC is effectively worthless without the club and the stadium, this patently obvious statement is the reason why the FL deducted the 10 points.

You'd need to stump up a lot of money to buy i.e. take on the debt of the club and the stadium, and I suspect most of the bidders are probably interested only in the actual club without the stadium, preferring perhaps to have a subsequent arrangement to lease the stadium from its own holding company. That way, the buyer for the club is not burdened with the debt attached to the stadium.

Anyway, the talks are very much still ongoing regarding the sale of the club. A deadline has supposedly been set for today for the front-runner, seemingly Pinnacle, to put forward their best and final offer. This will then be put to the creditors of the PLC who will decide whether to accept it, if so, the club will be sold (subject to completion of the legal side of it). If not, discussions will resume with the other interested parties.

The administrator really only is doing his job here, and I suspect the Saints administration isn't the only matter on his desk at the moment (even if it is the more high profile).

I think that Mr Fry has an obligation to try to find a buyer for SLH, not SFC as SFC is just an asset. Therefore he has to try to get bidders to buy into SLH. But knowing that people dont want and have no need for SLH, he now goes to stage 2 which is to buy the assets, namely SFC. The only stalling point is that Mr Fry will need to get as much money for the creditors for SMS. Look upon todays news as the next stage of progression for someone to be able to purchase SFC. This news today I have just been assured is good news. Expect a buyer of SFC VERY soon.

Thats a rosy way of looking at it!

What it actually means in strict legal/financial terms is that the Pinnacle Consortium (along with LeTis) has been unable/unwilling to proceed further. Therefore they are no longer preferred bidders and the Admniistrator effectively has to start again.

I am not a SFC fan (up the cherries!) but I am for my sins an investment banker so am familiar with how these things work. If it is any comfort to you, I would say that the chances of Saints folding is near enough nil despite the Admninistrators warnings (his legal duty is to get the best price for creditors). A deal will be done with someone and SFC will take to the field next season. A pile of steel and concrete in StMarys is no damnn use to Norwich Union when you are owed £20m+!!

Begbies Traynor, the administrator appointed when the club's holding company was placed in administration last month, is in advanced negotiations with one prospective buyer, believed to be the consortium backed by former Saints midfielder Matthew Le Tissier.

Mark Fry, the joint administrator, confirmed that there is a deadline of the end of today for Pinnacle Property Consultants, a consortium of local businessmen that has the support of Le Tissier.

The company, linked to Pinnacle Asset Management, was only incorporated in 2008, according to Companies House documents. Pinnacle has described itself as having "a particular emphasis on acquisition of distressed property in the leisure sector and close working relationships with the UK's biggest administrators and receivers".

The consortium is believed to have until the end of the day provide certain legal paperwork and financial guarantees that will enable it to enter a period of exclusivity as the preferred bidder. If those guarantees are not forthcoming, Fry said he would turn his attention to other bidders. "If it doesn't happen by the end of the day, we'll have to return to talk to other bidders," said Fry, who has been engaged in a race against time to find a buyer.

In an earlier statement to the local Daily Echo, Tony Lynam, a friend of Le Tissier's who is leading the bid on behalf of the consortium, said: "These are confidential matters and until such time that a formal bid has been made, and a deal agreed, no further comments can nor will be made. Clearly we are aware of Matt Le Tissier's public support, and we will be pleased to have Matt working with us should this deal complete."

Fry had previously said that the club was at risk if a deal is not done shortly after the end of the season, which ended with Southampton being relegated and facing a 10-point deduction for next season.

Negotiations have been complicated by the structure of the company, with the holding company housing the football club and stadium subsidiaries, and the need to negotiate terms with Aviva Investments, which lent more than £24m to build the ground, and Barclays.

With gates having dwindled in the wake of relegation from the Premier League and despite having raised millions from the sale of players including Gareth Bale and Theo Walcott, the holding company was forced into administration after being unable to bring in enough money to service its debts of more than £30m."

The good news in all of this is that Askham, Wilde and Lowe plus all their chums have lost a great deal of money. The sad thing is so has Crouch and all the small but uninfluential investors. All those shareholders who supported the reverse takover hoping to line their pockets have had their come uppance. The sad thing is it may yet have led to the destrucyion of our club. Finally my big fear in all of this is that we may end up with an even bigger bunch of rogues running the club.

The LSE statement is irrelevant and I would be astonished if 606 had a scoop from Mr Fry before any of the news wires.

And as for investment bankers - they caused the recession and include a certain Lowelife amongst their slimy number...

I dont think i can take much more of this! I have loved this club from birth and to see it in such a sorry state. With fans and players not to mention backroom staff hanging on every word, sentence and piece or scrap of news to hear what is going on with their beloved Club, Job, Employer...

There is a lot of scaremongering about deals being off and no bidders being left in, quotes from Fry saying there are no buyers etc, but if that's the case surely the BBC, Echo, Sky, anyone would be reporting it – they don't need much of an excuse to report even the vaguest of rumours to fill airtime or column inches.

But no, nothing. That says it all.

The best you'll get is a new story on this site headlined: "Fans fears at stock market announcement", which basically tells you nothing has happened, but we'll make up something about people being scared about a crap rumour about something that wasn't even worthy of a story in the firstplace. Yawn.

Sfc has never been the same since Mcmenemy left for Sunderland, he was a total hero, managed to balance the books buy great players mix young and older players together to form a strong squad on the Dell capacity, since he left sfc has steadily gone down, i am quite amazed big Lawie has not kicked Ruperts balls into touch. Starting again will be the best thing, there are still good football heads still involved with saints, I cant see people like McMenemy, tiss channon,etc just turning there backs on a big part of there lives.

Well said little p. All that matters is that we are still a club next season. I too have worshipped this club since birth.
What a terrible day, made far worse by the dire and inept coverage of this terribly amateur 'news' paper. I've had the day off and been scraping for news all day and received nothing. I am a qualified journalist and know from personal experience that this paper only employs people with no understanding of real journalism so that they can mould them to the 'Echo' way. I can't believe that this site hasn't at least given us an update on discussions today.

Thank heavens for the internet. Without it we would be nowhere. I do hope that tomorrow the Echo will tell us something we don't already know. We are all capable of watching Sky sports then writing it down. That's not called journalism.

I'll be surprised if we hear anything at all this weekend from the Echo. All the reporters will be having their weekend off!. I'm going in the garden...it'll be a waste of time hoping for news from this site.....as much as I love it.
