Potential foreign owners in late night Saints talks

TWO overseas groups were last night confident of striking a deal to take over Saints as the battle to save the club from possible extinction reaches its climax.

A worldwide financial services group were negotiating with creditors late into last night in a bid to complete a deal.

The Daily Echo revealed yesterday that the group had arrived late at the negotiating table, though they have been monitoring the St Mary’s situation for some weeks.

The group claim they have enough wealth to go through with the takeover.

The Swiss group, however, were also remaining confident of finalising a takeover just three days before administrator Mark Fry’s deadline.

The Swiss – who were close to being granted exclusivity before Fry gave it to the Pinnacle group over a month ago – were engaged in meetings all day yesterday having agreed most of the finer points of their deal.

As the last remnants of due diligence were being completed, a team of lawyers were attempting to finalise contracts.

In the background, plans were being mapped out for their first days and weeks in charge so they can hit the ground running.

Last night’s talks were the final act in a remarkable day, even by Saints’ standards.

The Matt Le Tissier-backed Pinnacle group withdrew their bid just hours after Dorset businessman Marc Jackson had done likewise.

Le Tissier said the ongoing problems with the Football League were behind Pinnacle’s decision to withdraw.

“We had actually spoken to the backers and talked them into accepting the 10 point deduction and getting on with things,” said the Saints legend.

“But there were other issues that came up and issues that we were only aware of after we had signed the exclusivity agreement.

“From that point of view the backers have taken a stance that they are not willing under the terms on offer to put the money in.

“The 10 point penalty wasn’t the sticking point, there were other issues.”

Jackson’s consortium – containing Middle Eastern businessmen – withdrew because they felt it too “risky” at the present time.

As for the take over I have given up. I would like to say if they pulled out because a few supporters said bad things about Failka, then clearly owning a football club was not for them was it. Let's face it unless we can get and agree the CVA (that means all the creditors are happyish!) we will get another points deduction on top of the 10-points we have already accrued.

I have wasted many hours of my working day on the pages of may forums to see if we will ever survive - I am waiting still! When is the day of reckoning? Looks like our pre-season friendlies will be a bigger farce than usual!

Dear Mr Wealthy Person
Many thanks for the interst shown in our club. We all hope you save us from oblivion and invest millions of £'s making us the great club we once were. We are loyal to the point of breaking - ask Rupert Lowe!
We have a big family and lots of hungry mouths and hangers on to feed. Please wipe the slate clean, but remember the traditions of a small club punching well above it's weight. We don't need a Kaka or Renaldo...we want honest professionals and grafters.
Many thanks.

I do start to have serious questions about the adminstrators handling of this. One crucial element is handing 3 weeks exclusivity to Pinnacle ( and it is also reported that the swiss group thought they were to get exclsuvity).

At first I had no issue with this as I considered the fact they were putting up 500k they would not get back was proof of their intent. However it now seems to be suggested that this £500k didnt come from the the pinnacle backers but from leon crouch. therefore how could he "believe" the pinnacle group really had funds to persue this bid.

He is meant to be a professional and I would assume he would wnt more guarantees than Crouches cash to offer such an advantage to this group.

Sounds like bad judgement or incompatance to me.

And you'd be surpised what can be over heard in a gym in bournemouth, when nobody thinks saints fans are around...

It just might be that the other bids could not be matched by Pennicle of Jackarson.... and all is possibly looking rosey....

As I keep telling people the dark-lord was telling somebody on the London Underground FIVE WEEKS BEFORE the 10 point deadline that we "In effect already in Admin" BUT HE WAITED until after that date to get the -10pts carried over to this season.

The last few days have shown the problems that has generated, but he saw that as his only hope of regaining control.
Remember you are dealing with the man with one of the biggest EGOs in the world here, who would take -25 every season just to stay in control.

THOUSANDS WILL stay away next season if he returns (we might even get as lowe as the Skates with 2,731 in Sept 2000) and it unlikely that NU / Barclays would see any of the "add-ons" (payments for a return to higher leagues etc.).

Therefore the ONLY solution is for NU/Barclays or Fry (or poss Leon) to take the FL to the HIGH COURT.
(The creditors will only get a fraction of their money with a -27 point penalty).

Company No 00053301 is NOT in Admin and therefore CANNOT obtain a CVA. It has been trading for the last 8+ weeks on its own etc (just).

The FL would almost certainly lose in the High Court and then get sued for millions.

It is NU/Barclays that should be putting pressure on the FL, because they will lose MILLIONS by the FL imposing a -27 point start (no CVA). With the threat of legal action from NU/Barclays I am sure the FL will agree to only a -10 start.

It would be in everybody's best interest at this time to show the world that we are SUPPORTERS, that new owners will not only get the benefit of our great club and all its top class facilities, but will also enjoy the full support of its fans. What's the club worth with a now very likely 25 point deduction and league 2 football next season?
It's not very tempting for a new buyer is it? My guess is Pinnacle were told by the FL that further penalties may be likely, they then went back to Mark Fry to try and renegotiate the agreed price on the basis of the risk of further deductions, Fry said no and that was the deal breaker.

Greedy fool? yes.. I remember, he moved to a fashionable London club to earn another 5 grand a week.

MLT is not a businessman, he's an ex footballer with a massive insight into SFC having lived and breathed the club for over 20 years.

He would be good business for the club if we was involved, I like many Saints fans would welcome an SFC chaired by MLT.

Indeed - I remember him saying he was going to support the teams playing against England in the last World Cup. So, like you, I won't be cheering him on!
does that mean that the next champion nof wimbledon will officially NOT be "british"?

thats good, as we are tired of the little englanders claiming anyone scottish thats good as suddenly "british"

so a scot wins wimbledon...absolute classic....

he didnt do his reputation any favours on TV last night still trotting out the line that "Other issues" with the league were the reason for no pinnacle deal.

the fact is, and he knew it Pinnacle could not show the money and were relying on getting the points issue dropped so they could sell on quick and make a fast buck out of the misery being endured by saints fans.

The club must be seen as a going concern and why then are season tickets not being sold to raise the money required to keep the creditors at bay and a manager appointed to give the players the stability they need for the new season. it seems Mr Fry is hell bent on asset stripping with no alternative other than sell the club to new owners.

As far as I'm aware, the FL won't issue a licence until Saints are out of Administration, which means that you cannot sell season tickets until you can guarantee there will be games to watch.
As someone who lives in the Portsmouth area, I must say that I have been surprised at the level of support for Southampton, genuine football supporters don't want any club to disappear.
It seems unlikely, but lets hope there is a miracle. But if there isn't then we must all get behind whatever is left and support them through the Conference at whatever ground we land up sharing.

The Pinnacle group remain locked in talks with the Football League as they look to buy Southampton, the JC understands.

The Football League ruled that Pinnacle - which includes ex-Saints player Matt Le Tissier - must waive any right to appeal against a 10 point deduction after their parent company entered administration.

Pinnacle, who settled outstanding players' wages, in the region of £500,000 last week, saw its period of exclusivity as bidders end on 19 June without agreement being reached as the takeover bid stalled over the 10-point issue.

But property company boss Michael Fialka, 32, denied reports that the deal has collapsed. “It’s all up in the air at the moment,” he told me. “The reality is that there are a few issues with the Football League. We’ve had a bit of a standoff as we would only consider a deal if the penalty was 10 points rather than 15.

“I need confirmation. Once it goes through then everyone will be happy.”

Fialka revealed that, should the takeover go through, he would “end up with one third of the club and be the main director on a four-man board.”

just recieved an e-mail from the football league clarifying their stance on sporting sanctions, here it is...

Dear Mr Root

Thank you for your email. Due to the volume of communications a standard response is necessary.

To clarify, the sporting sanction, i.e. points deduction has been made in accordance with League regulations, which are put in place by the clubs themselves – The League merely administers them. An appeal is allowed with a specified period.

When a club suffers an insolvency event, e.g. administration, their share in The League is liable to be withdrawn under the terms of our Articles of Association. In other words their membership comes to an end. However, because we are in the business of trying to keep clubs alive, the Board operates a policy within the provisions of the Articles which suspends the withdrawal of a club’s share in order to give them a second chance – this is entirely in keeping with the law of the land.

Recent arbitration proceedings confirm The Football League has the right to impose conditions on a company that sees to join The League in this way. These conditions reflect the need to protect the integrity of the competition by ensuring that no club should be able to gain an advantage over its rivals by not paying its debts. Owners of football clubs will change over time, but the ‘club’ remains the same. It is the club which secures a competitive advantage from wiping out debt through insolvency proceedings, and therefore, it is only right that it is the club, regardless as to the identity of the new owners, that is made subject to any conditions.

The League has a responsibility to ensure all League clubs start the season - we would also clarify that throughout our discussions no conditions other than a waiver in regard to sporting sanctions have ever been raised with us as a major issue.

That's not a bad call, actually. If the stadium just gets handed back to them then what on earth would they do with it? There's no one else who can play there, so all they could do is pay to have it knocked down and turned into flats or commercial units they wouldn't be able to sell. It would also cost them next to nothing as most of the money the club owes is to them.

If they buy the club then they would, of course, run it purely as a business venture with a very keen eye on the purse strings, probably hoping to sell it on as soon as the economy improves, but right now that would be good enough for me.

The problem is that if (and I hope it happens) we get bought - the new investor needs to realise a few things

Season ticket sales will be less than last yr (not enought time to sell them)

the wages will drain the club (players + staff must be close to £1mil per month)

There is no income at the moment so there will be a big black hole in the finances.

I really think that Fry won't have given the full story but I hope they have deep enough pockets to make sure we have no problems going forward.

The club has to enter a CVA to survive and that needs to happen by friday otherwise we'll get hit with more problems.

If you look at Cardiff and Stoke and Leicester city they have these trusts and they seem to have worked very well In improving relations and providing a part ownership of thier clubs.

LS

according to the PFA the average salary for league 1 is £67k (2006), it has probably gone up - and gone down. Factor in a bonus say 20% and you have an average of £82k per annum. a squad wil be reduced to 25 and the wage bill is £2.2 million ( inc employers NI).
The question is how many other staff we have left that will have TuPe rights? from a high in 2006 of 240ish. Say we have another 25 staff on £35k the figures are still well under £1m - My guess is £250k to £300k. given the fixed costs of stadium interest and club admin debt etc are about £4m
We need to throttle the wages to about £2.5 m per annum.

From my understanding the club can trade in administration if it is solvent and the creditors agree.

Given the release of funds - player slaes this may buy us a bit of time - enough for due dilligence to be done properly .

The friday deadline has been created by FRY --- BUT the creditors will be looking for the cash soon --- HMRC seem to not like football at the moment and they can force the liquidation of the club with a winding up order.

Stafford Saint says...
6:46pm Wed 1 Jul 09

I thought as much. Thanks.
I have said already that we are probably better placed than other examples of administration in football to avoid the CVA infringements of the FL. HMRC debt is probably low. Player trading debt will be low and will be cleared from the McGoldrick and Surman sales (just like Dyer money went elsewhere before it came to us for this purpose).
Our main debt (in size) is stadium. Our main creditor, in terms of pee'd-off-ness (made up word!) is probably the bank.
What has not been explained well by the administrators, for the benefit of us fans, is whether the stadium debt HAS to be paid off in full or not to come out of admin.
I imagine that Barclays want their money (and probably to never touch us again!). All the time people are trying to haggle the stadium debt down for early repayment BUT Aviva might just want repayments because that is what mortgage companies want and not to accept losses (on paper). BUT on the other hand, do the creditors have the confidence that a new buyer could honour debts in the normal way through the trading profit of the club? Can Southampton have a trading profit again? Did the fickleness of the people of Southampton towards their club last season do us a dis-service to potential buyers who want to settle the small debts but carry on with the mortgage?

Staff numbers circa 100 for grounds, mkting, finance, opps, + scouts and coaches etc. . .

The league said this wasn't the case and silence from PG tends to confirm that. There is nothing confidential in releasing possible point penalties.

It sounds very like the Swiss group are on track to make a take over in a business like fashion. They are still at the table and would have been well aware of any league penalties ages ago.

I'm really confident and am keenly interested in the coming football.

One thing about being so far away is having to rely on reports and everyone here reporting little bits between the lines.. it's fun but I wish I could be still riding my bike up to training watching and getting autographs.. It's still in the blood and I hope all the fans really get in behind Mark Wotte and hopefully the new owners at the end of the week.

Up the Saints

MLT took his fee as he allways did for hanging around the goalmouth waiting for an opportunity, he was never a good player OR a good liar, he has taken his cut and run as allways.

Did the fickleness of the people of Southampton towards their club last season do us a dis-service to potential buyers who want to settle the small debts but carry on with the mortgage?

Cheap, inaccurate, bitter shot!
Saints have a brilliant fan base and they have been loyal for years
through many downs and the occasional up.
Lowe Luvvies like you should have left the club with your master...how can you not see that support from people like you have placed the Saints in this predicament. I can remember many Lowe Luvvies on this very site who followed blindly and never once queried where the club was going.Even now many of you cannot see how mismanagement has put us in this mess.
Unbelievable!

well said St Paul - Apart from anything else Wotte said it all on Sky Sports last night. Something about having so many managers over the last 10 years or so is probably why we are in this position. That is down to the Dark Lord.

It's not nice this is it? It gets worse before it gets better. Because your planning for the new season is delayed, you are playing catch up AND have a points deduction. Then you get supporters of other teams coming down and goading you about "that's why you're going down" or sanctimoniously saying you got what you deserve. Ignore them. Smile and be polite but channel the anger into supporting your team more passionately.
The further deduction is only going to happen if less than 75% of creditors vote for the CVA. That is only going to happen if the revenue are owed a large enough proportion of the debt.
You should look at Leeds after their 15 point deduction. That is what you can achieve if Wotte gets the right players with League 1 experience in.
Best wishes and hope we get drawn together in the Johnstone's Paints trophy.
